Confused about this Offer?? HELP!

I received the most ambiguous offer for a PMHNP position and I am yet to sign it because I literally have no clue what I am signing. Can anyone help me out here?

The offer is for 90/hr as an exempt employee. Apparently no benefits because nothing was listed in the official offer even though I was verbally told benefits will be given.

These 2 things stuck out to me the most.

Additional Agreements: As a condition of your employment, you agree to execute any additional agreements required by the Company at the start of your employment. This includes any agreements that relate to your confidentiality or intellectual property assignment obligations to the Company. You further agree that at all times during your employment (and afterwards as applicable), you will be bound by, and will fully comply with, these additional agreements.

Entire Agreement: This employment agreement, along with the Confidentiality Agreement, sets forth the terms and conditions of your employment with the Company, and supersedes any prior representations or agreements concerning your employment with the Company, whether written or oral. You acknowledge and agree that you are not relying on any statements or representations concerning the Company or your employment with the Company except those made in this agreement. This employment agreement may not be modified or amended except by a written agreement signed by you and an authorized officer of the Company.

What exactly are they saying?

I would be uncomfortable with the "additional agreements" clause. How can you sign something saying you will agree to "any additional agreements", of which you currently have no knowledge (and apparently neither do they)?

I would ask that that paragraph be removed. What if they decide later to throw some horrible non-compete at you and you've signed this thing and should you ever leave your job, you can't take another one within 30 or 50 miles of your current one??

The "entire agreement" wording looks standard to me. It is saying that the written agreement supersedes anything that you may have been told verbally. However, if you are under the impression you will have benefits (and you WANT benefits), I would clarify that. In fact, I would get any and everything clarified IN WRITING before you sign...so you are comfortable with that last paragraph.

For the Additional Agreements - Confidentiality and Intellectual Property are standard for employment in just about any field. However, this paragraph is poorly worded and should specify the agreements they mean. As it is written, it is too broad.

For non-compete - those are very hard to enforce. In California, it is pretty much unenforceable. Check on your state.

I agree with previous poster on "entire agreement."

For benefits, ask to see a copy of their benefits plan. That way you can confirm whether or not you will get benefits. If you are an employee, and not a contractor, then it would be very weird not to get any benefits.

Invest in a lawyer to review the contract.
