Where do I stand?

I am a nurse based in the Uk hopefully relocating to the USA (florida0 I am signed up with an agency and have a contract with them. This agency is based in Fort Wayne. I am at the stage where i am just waiting to pass my NCLEX so that the agency can file my immigration papers for my visa and green card etc. However yesterday i received a letter from them saying they have decided to exit the international nurse recruiting and placement business, and have partnered with another professional placement rescources agency

This company will be contacting me to discuss the advatages of signing up with them. If I sign up with them, my orginal agency will let me out of my contract with them. If I decline this new company I will not be released from my contract with them.

If I choose to leave my agency and break the contract with them then I would have to pay the drop out fee.

What if this agency can not provide me with what I am looking for and what if they can not place me and are not interested in me. It is not my fault that my old agency is pulling out of placements etc, so they are not really fullfilling their side of the contract. If this new agency turns out not to be able to meet my needs and I don't sign with them, and decided to find someone else, where would I stand legally about having to pay a drop out fee?
